1. Identity#

  • Bundle name: maat-procurement-standard
  • Domain: procurement (maat_procurement template-domain code).
  • Use-case classes it applies to: commerce_negotiation, supplier_procurement, agent_to_agent_contract (procurement-shaped).
  • Operational mode: procurement_negotiation (per ConcordiaOperationalModeSchema).

2. Contents#

  • Clause templates included: the procurement playbook in libs/nous/agreement-search/src/domain-candidate-generators.ts (procurementPlaybook) generates buyer-favoured, supplier-favoured, balanced, and rebate-tier variants spanning:
    • money payload — unit price, currency, payment terms (DPO 30 / 60 / 90), early-payment discount tiers
    • deliverable payload — quantity, quality spec, delivery window
    • service_level payload — uptime / on-time-delivery commitments, credit schedule
    • restitution payload — liquidated damages on quality failure
    • monitoring payload — quarterly review cadence, audit right
    • escrow_release payload — milestone gating
  • Constraints enforced:
    • linear: total contract value ≤ approval threshold; rebate waterfall sums to ≤ 100%; payment-term distribution ≤ tenant cap
    • temporal: delivery dates must respect lead-time floor; rebate measurement windows non-overlapping
    • fairness: burden-symmetry minimum 0.85 (workbench-rendered)
  • Mandatory human-review flags:
    • Any contract value ≥ tenant-configured executiveApprovalFloor routes to procurement_officer + compliance_officer queues (§179.7.1.4).
    • Sanctions / KYC risk above tenant threshold routes to compliance_officer (§179.5.5.4).
    • Cross-jurisdiction contracts route to legal_counsel.
  • Jurisdictional coverage: world baseline + per-jurisdiction overlays in the §179.2.3.5 template registry (US, EU, UK, CA, AU, IN, BR, JP, KR, SG defaults).

3. Sources#

  • Drafting authority: Maat domain owners with input from procurement counsel; clause structures cross-checked against Pactum's publicly disclosed procurement-agent specializations (sourcing, payment terms, discounts, rebates, post-sourcing).
  • Academic / professional references: see docs/research/gap-analysis-pactum-nibble.md and docs/research/bibliography.md §procurement-negotiation.
  • Related institutional rules: ICC Incoterms 2020 references for delivery-window clauses; UNCITRAL Convention on the International Sale of Goods for cross-border defaults.

4. Evaluation#

  • Coverage against domain precedent corpus: every variant in the playbook materializes a valid Zod-parsed term-family payload; the domain-candidate-generators.test.ts suite asserts this.
  • Enforceability audit: clause templates are advisory until counsel review per §179.7.1.4. Templates do not contain unilateral unconscionable provisions; the spec-gaming-audit.ts runs on every emitted candidate set.
  • Fairness posture: the playbook emits buyer-favoured AND supplier-favoured variants by construction so the optimizer cannot systematically favour one side. Burden-symmetry minima encoded in the candidate-filter gate.

5. Use#

  • How Concordia loads this bundle: the orchestrator selects this bundle when useCaseClass ∈ {commerce_negotiation, supplier_procurement} and the case domain matches maat_*. The selection is recorded in the reproducibility manifest's policyPins.
  • Consumers:
    • generateSeedCandidates in libs/nous/agreement-search/src/candidate-generation.ts
    • clause-mutators.ts (sandboxed mutators apply within bundle constraints)
    • validator.ts in libs/contracts/concordia/src/dsl/ (static validation)

6. Refresh#

  • Drift triggers: material changes to ICC Incoterms, UN sanctions lists, US OFAC SDN list, EU GDPR enforcement guidance on supplier data, national procurement regulations.
  • Last refresh: 2026-04-25.
